Terms of Service

These Terms of Service ("Terms") govern your access to and use of ClearSky AI (the "Service"), operated by ClearSky AI Ltd ("ClearSky AI", "we", "us"). By creating an account or using the Service, you agree to be bound by these Terms.

1. The Service

ClearSky AI provides a Model Context Protocol ("MCP") server and related tools that let organizations connect third-party applications (each, a "Connected App") and expose them to AI clients such as Claude, ChatGPT, Cursor, and other MCP-compatible clients. You may use the Service to authenticate Connected Apps, scope operations, invite teammates, and run agent-initiated tool calls.

The Service acts on your instructions. When you authorize a Connected App, you grant us permission to make API calls to that app on your behalf through scoped OAuth tokens or credentials you supply. You are responsible for:

Pricing, included credits, and top-up rates for each plan are described on our pricing page. One credit equals one operation (a single tool call made by an agent through the MCP server).

Except where required by law, fees are non-refundable. Unused credits are not refundable or exchangeable for cash.

7. Third-party services

The Service integrates with third-party applications and AI providers. Your use of those third-party services is governed by their own terms, and ClearSky AI is not responsible for their availability, accuracy, or content. You are responsible for complying with the terms of any Connected App you authorize.

8. Intellectual property

The Service, including all software, design, and content (other than Customer Data), is owned by ClearSky AI or its licensors and is protected by intellectual property laws. We grant you a non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms.

9. Confidentiality

Each party agrees to protect the other's confidential information using the same degree of care it uses for its own, and in no event less than a reasonable standard of care, and to use it only to perform obligations or exercise rights under these Terms.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. ClearSky AI does not warrant that the Service will be uninterrupted, error-free, or secure.

Agent outputs may be inaccurate or inappropriate for your use case. You are responsible for reviewing agent actions and outputs before relying on them.

11. Limitation of liability

To the maximum extent permitted by law, ClearSky AI's aggregate liability under these Terms will not exceed the greater of (a) the fees you paid to us in the twelve months preceding the claim, or (b) USD 100. Neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data.

12. Indemnity

You agree to defend, indemnify, and hold harmless ClearSky AI from any claim, loss, or expense arising from your use of the Service in violation of these Terms, your Customer Data, or your Connected Apps.

13. Suspension and termination

You may cancel your subscription at any time from your account settings. We may suspend or terminate your access if you materially breach these Terms, or if required by law. On termination, your right to use the Service ends and we may delete your data after a reasonable retention period.

14. Changes to the Service or these Terms

We may modify the Service or these Terms from time to time. Material changes will be communicated by email or in-product notice. Continued use of the Service after the changes take effect constitutes acceptance of the revised Terms.

15. Governing law

These Terms are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction over any dispute arising from these Terms, except that either party may seek injunctive relief in any competent court.
